Following are the terms + conditions of being a Featured Guest (“Guest”) at the Elevated Women Real Estate Investors Summit (“Event”) held online on May 1st, 2nd, and 3rd, 2024 produced by The Conscious Edge, LLC (“Organizer”). 

Organizer and Guest hereby voluntarily and willingly agree as follows: 

Guest has agreed to virtually “attend,” speak, and provide a pre-recorded content contribution at the Event, referenced above. Guest hereby agrees to provide the services outlined below, and Organizer agrees to abide by the Agreement and stipulations as outlined below. Any such amendment or update to the terms as set forth below will become operable only by way of written amendment, attached hereto as an addendum.

Engagement

Guest agrees to be available for an initial video call with Organizer, in order to discuss details of the Event,  plan pre-recorded content by Guest, and any other details.  Guest also agrees to provide approximately twenty (20) minutes of pre-recorded content which will be made available to Event attendees on the Event dates and as part of an upgrade for ongoing access.  Guest confirms they will discuss with and clear the topic and general outline of interview with Organizer no less than six (6) weeks before the date of the Event.  Guest may also be invited to participate in live sessions taking place during the event.  

Term of Agreement

This Agreement shall remain in effect until (A) canceled by Organizer, or (B) completion of the Event. In the event of cancelation by Organizer, or upon death, disability, or other incapacity resulting in the inability of Guest to present at the Event, this Agreement may be terminated, with no further obligation of either party.  

Compensation

Guest understands they will not be monetarily compensated for this speaking event; however, they will be able to share their business and message to all Event attendees, and pitch their free gift at the end of the pre-recorded content. Guest will be given complimentary access to upgraded Event access in the form of an Elevated Woman REI Power Pack.  Guest confirms this is sufficient good and valuable consideration in exchange for their time in speaking at and contributing to the Event.

Audio/Visual Equipment

Guest confirms they will have suitable audio and visual capabilities in order to allow the Event audience to accurately and properly hear Guest should they decided to participate in any live sessions. Guest will ensure they have a quiet location free from distraction and noise during the Event, and will perform any tests of technology equipment prior to participating in any live sessions during the Event. Organizer will make recommendations to Guest upon request for any additional equipment needed by Guest in order to properly participate, but is not responsible for purchasing any equipment for Guest – any decision to upgrade technology for the Event is solely at the cost of Guest. 

Advertisement / Promotional

The Event is collaborative in nature, mission-focused, and designed to create maximum exposure to new audiences for all speakers involved.  For this reason,  Guest understands and agrees that they will send at least one (1) dedicated email to their entire email list promoting the entire The Event (not just their interview), (1) newsletter blurb or P.S. mention, and at least (1) social media platform, or as many as the Featured Guest regularly uses within fourteen (14) days of the Event launch date. Guest will be provided a swipe file that will contain suggested content and graphic(s) to use in their email and social media marketing promoting approximately 3 weeks prior to The Event. While Guest may adapt and edit the content in order to add their voice, Guest will not change or omit any of the necessary details regarding the Event. Should Guest fail to meet these requirements, the Organizer reserves the right to pull Featured Guest from The Event.

At the end of the pre-recorded content, Organizer will allow Guest the opportunity to provide the Event attendees with information regarding Guest’s products or programs, and how attendees may get in touch with or reach Guest for further discussion or information regarding products or services. Guest agrees to do so in a tasteful and brief way, providing information only, and not engaging in any tactics to sell audience over and above mentioning services and how to get in touch with Guest.  Guest understands that should they violate this portion of the Agreement, Guest may be removed from the Event, and their pre-recorded contribution may not be featured in the recording.   

Guest will also have the opportunity to provide a marketing item to the Event attendees, which may include Guest’s information, business name, and/or website, as well as a free resource relating to Guest’s area(s) of expertise. Organizer will have all final approval rights on what Guest may choose to use as a “freebie,” and may request different materials at her sole decision. 

Performance

Guest shall provide the pre-recorded content for the Event by the date and time selected by Organizer, and shall abide by all rules of the Event and the parameters as defined by and discussed with Organizer. Guest also agrees to: 

1. Promptly reply to any and all email or telephone correspondence from Organizer leading up to the Event. 
2. Provide pre-recorded content according to Organizer’s standards of professionalism, and in accordance with provided guidelines. 
3. Not speak poorly, defame, slander, or libel any person, firm, or corporation in attendance at the Event, Organizer, Venue, or any such participant.
4. Confirm that any and all material and content used by Guest in content does not infringe or violate any intellectual property rights of others, including copyright, trademark, or patents, nor do they promote or endorse any product or service. 
5. Not sell or promote any products or services at any time during the pre-recorded content other than briefly as discussed with the Organnizer at the end of the content. 
6. Not infringe the intellectual property rights of another during their content, including copyright, trademark, patent, etc. Guest agrees to hold Organizer harmless should it later be determined that Guest’s content was in whole or part infringing upon another’s rights, and Guest agrees to take full responsibility, including indemnification of Organizer. 

Failure to Perform

Should Guest fail to sufficiently perform under this Agreement (other than for reasons beyond his or her control), Guest agrees and understands that any and all costs and expenses incurred by Organizer as a result of Guest’s anticipated attendance at The Event and failure to perform shall be immediately redefined as damages sustained by Organizer, to be paid by Guest as a result of the failure to perform, whether known or anticipated. 

Cancellation

Organizer reserves the right to cancel this agreement if anything outlined in the above “Performance” paragraph is breached. Organizer also reserves the right to change, update, or reorganize the time, length, date, and/or location of Guest’s content at its discretion, and will provide as much notice as possible to Guest. In the event of such cancelation or change, Organizer will not be liable for any expenses, costs, or damages incurred by Guest as a result, except those which were incurred by Featured Guest in good faith, and are not recoverable. 

If Guest must cancel this Agreement, they agrees to provide written notice to Organizer no less than thirty (30) days before the date pre-recorded content is due.  It is Guest’s obligation to ensure Organizer received written notice of cancellation more than thirty (30) days prior to the Event. In the event of cancelation, Guest also agrees to make any and all good faith efforts to seek a suitable replacement, should Organizer desire such assistance in finding replacement. 

The Event Attendance

Featured Guest will be granted access to the the Event, and will have the ability to view their content, as well as the content of other attendees. Organizer reserves the right to remove Guest from the Event  and accessing Elevated Woman REI Power Pack should they create a disturbance, post any offensive or otherwise negative comments, or speak negatively of the Event. 

Photo and Media Release 

Guest understands and agrees that the Event may be filmed, recorded, broadcast via livestreaming, and documented by photographers, media, or other members of the press. Guest grants Organizer a royalty-free, irrevocable license to use Guest’s name, likeness, the recording of the interview, and image in using such video and photography from the Event for commercial use, as she sees fit. This may include but is not limited to posting photos and video on Organizer’s website, future sales pages and advertisements for future the Events, and to promote the the Event and event in general. By signing this agreement, Guest provides Organizer with a full, irrevocable release allowing Organizer to use his or her name and likeness, and all such footage in any way he or she sees fit and does not expect any compensation in return. 

Guest also grants Organizer a non-exclusive, irrevocable, royalty-free license to use the footage of Guest’s content in any manner Organizer deems appropriate, including but not limited to reproducing, distributing, displaying on the Internet, and any other manner Organizer sees fit, without any additional compensation owed to Featured Guest, regardless of any profits made by Organizer. 

Guest understands that Organizer is not responsible for footage, photographs, and any other information obtained by the Event attendees and subsequently posted on social media, the Internet, and/or other avenues. Organizer will encourage attendees to maintain professionalism and courtesy in obtaining and sharing footage of the Event. Guest agrees to fully indemnify and hold harmless Organizer and any affiliates of the Event should any attendee post or broadcast any form of photography or media regarding Guest. Organizer is not responsible nor liable for what attendees may post, and Guest agrees they is speaking at Event voluntarily, and assumes any and all such risks of being photographed or otherwise recorded by the Event attendees. 

The Event Promotion

Guest agrees their name, company name, likeness, and image may appear on any and all marketing materials for the Event, whether in print or online, and gives Organizer an irrevocable, permanent license to use this information on any such marketing materials as of the date of this Agreement, through the date of the the Event and for a reasonable time thereafter. Guest also agrees they will promote the Event as they see fit and in accordance with the Advertising/Promotion section of this agreement, to Guest’s audience. 

Affiliate

If Guest agrees to become an affiliate for the Event, they confirms to only market and promote the Event in accordance with ways in which Organizer has approved, and with language Organizer has approved. If Guest desires to run any paid advertisements to promote the Event, they will obtain prior written permission from Organizer to do so, and will obtain prior approval of the advertisement itself prior to beginning any such advertisement campaign. Any expenses incurred by Guest in connection with advertisements for the Event are purely the responsibility of Guest, and they understands they will not be reimbursed by the Organizer. 

Guest will receive a unique link that will track any customer purchases made, and determine the commission Guest is entitled to. Any purchases made directly through this link will entitle Guest to a _40_% commission per successful purchase of the Elevated Woman REI Power Pack;  Commission level will increase to 50% if Guest makes a product/service contribution to the Elevated Woman REI Power Pack. Guest understands they are not entitled to any commissions from customers who do not purchase using Guests’ unique link, regardless of any communications that took place between Guest and customer. Commissions DO NOT apply to other programs or products sold by The Conscious Edge, LLC on the consciousedge.com or members.consciousedge.com websites. The parties agree that the metrics related to this link will be the sole manner in which Guest’s commission will be determined, and will be true and correct. Guest is to be paid all due commissions thirty (30) days after the completion of the event via PayPal. 

FTC Compliance

The Federal Trade Commission requires that affiliates disclose to their readers when they endorse a product and have a “material connection” to the seller of that product. 

These rules apply to any online review, article or endorsement that includes Organizers affiliate link and encourages visitors to purchase the Elevated Woman REI Power Pack. Disclosures are not required for links that are clearly advertisements (such as banner ads in Guest’s blog’s sidebar). 

By participating in the Event affiliate program, all affiliates must agree to comply with the Federal Trade Commission’s 16 CFR § 255.5, and review and follow the suggestions outlined in their guide on How to Make Effective Disclosures in Digital Advertising.

Every time Guest promotes the Event in an article using Guest’s unique affiliate link, Guest must disclose the nature of Guest’s relationship with Organizer. Furthermore, such disclosures must be made clearly, frequently and conspicuously. Such disclosures ensure that readers can formulate an informed opinion about the information Guest provides by understanding the possible influence Guest material connection with Organizer might have on Guest endorsement of the Event.

Those affiliates who do not comply with the FTC guidelines will be subject to account termination and commission reversal.

Dispute Resolution

This agreement is to be construed under the laws of the state of Ohio, regardless of conflict of law principles and regardless of where Guest resides. Any claim or controversy arising out of or related to this Agreement or the Event shall be settled by arbitration in accordance with the rules of the American Arbitration Association in Columbus, Ohio. Judgment may be entered in any court having jurisdiction, and all parties agree that the result of arbitration is final and binding.
